Stradsw.com Terms and Conditions

Welcome to Stradsw.com (“Stradsw”, “we”, “us”, “our”). These Terms and Conditions (“Terms”) govern your access to and use of the stradsw.com website, services, and text messaging programs (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility & Accounts

  • You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • You agree to provide accurate, current information and to keep it updated.

2. Acceptable Use

You agree not to:

  • Use the Services for any unlawful, fraudulent, or deceptive purpose.
  • Interfere with or disrupt the Services, servers, or networks.

We may suspend or terminate access for violations.

3. Text Messaging (SMS/MMS) Terms

By opting in to text messages from Stradsw, you agree to the following, in addition to our Text Messaging Policy and Opt-In Workflow:

  • Consent: You consent to receive recurring text messages (transactional and, if separately opted in, promotional) at the mobile number you provided. Consent is not a condition of purchase.
  • Frequency & cost: Message frequency varies. Message and data rates may apply per your mobile carrier plan. Carriers are not liable for delayed or undelivered messages.
  • Opt-out: Reply STOP at any time to cancel. You will receive one confirmation message and no further texts.
  • Help: Reply HELP or contact [email protected].
  • Your number: You represent that you are the account holder or customary user of the number provided. Notify us if your number changes or is reassigned.

4. Intellectual Property

  • The Services and all content, trademarks, logos, and software are owned by or licensed to Stradsw and protected by intellectual property laws.
  • We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.
  • You retain ownership of content you submit, but grant us a worldwide, non-exclusive, royalty-free license to use, host, and display it as needed to operate the Services.

5. Third-Party Services & Links

The Services may integrate with or link to third-party sites and services. We do not control and are not responsible for their content, policies, or practices. Your use of third-party services is governed by their own terms.

6. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRADSW AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

8. Indemnification

You agree to indemnify and hold harmless Stradsw from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your content, or your violation of these Terms or any law.

9. Dispute Resolution; Arbitration; Class Action Waiver

  • Informal resolution: Contact us first at [email protected]; most disputes can be resolved informally within 30 days.
  • Binding arbitration: Any dispute not resolved informally shall be resolved by binding individual arbitration under the rules of the American Arbitration Association, except claims that qualify for small claims court.
  • Class action waiver: Disputes must be brought on an individual basis only; you waive any right to participate in a class or representative action.
  • Opt-out of arbitration: You may opt out within 30 days of first accepting these Terms by emailing [email protected] with subject “Arbitration Opt-Out”.

10. Governing Law

These Terms are governed by the laws of the State of [STATE], without regard to conflict-of-law principles, except that the Federal Arbitration Act governs Section 9.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted at https://stradsw.com/terms with an updated effective date, and where required, we will provide additional notice. Continued use of the Services after changes take effect constitutes acceptance.

12. Termination

We may suspend or terminate your access at any time for violation of these Terms or as required by law. Provisions that by their nature should survive (including Sections 4, 6–9) survive termination.

13. Miscellaneous

  • Entire agreement: These Terms, together with the Privacy Policy and Text Messaging Policy, are the entire agreement between you and Stradsw regarding the Services.
  • Severability: If any provision is found unenforceable, the remainder stays in effect.
  • No waiver: Failure to enforce a provision is not a waiver of it.
  • Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
